1. Introduction

These Terms of Service (“Terms”) govern access to and use of the website operated by Whitehouse Lighting And Electrical (Pty) Ltd (“Whitehouse Lighting And Electrical”, “Whitehouse”, “we”, “us” or “our”), including purchases made through our online store.

By placing an order through this website, you agree that the transaction is subject to these Terms together with the policies expressly incorporated into them.

These Terms must be read together with our:

Nothing in these Terms is intended to exclude, restrict or waive any consumer right that cannot lawfully be excluded under South African law.

These Terms apply specifically to transactions concluded through our website. Purchases made through independent third-party marketplaces may additionally be subject to the applicable marketplace's terms and procedures.

3. Applicable South African Law

Our website and electronic transactions are subject, where applicable, to South African legislation including:

  • the Consumer Protection Act 68 of 2008 (CPA);

  • the Electronic Communications and Transactions Act 25 of 2002 (ECTA);

  • the Protection of Personal Information Act 4 of 2013 (POPIA); and

  • other applicable South African legislation and common law.

The CPA prohibits contractual terms that attempt to waive consumer rights, avoid a supplier's statutory obligations or exclude liability for loss attributable to the supplier's gross negligence.

Where these Terms conflict with a mandatory provision of applicable law, the applicable law will prevail.

4. Legal Capacity

You must have the legal capacity required under South African law to conclude a binding transaction.

If you are under the age of 18 or otherwise do not have full contractual capacity, you may place an order only with the assistance, consent or authorisation required by applicable law.

We may cancel or refuse a transaction where we reasonably determine that the person placing the order does not have the required legal capacity or authority to do so.

5. Nature of Our Website

Whitehouse Lighting And Electrical operates a retail business supplying lighting, electrical, solar, backup-power and related products.

The website allows customers to:

  • browse products;

  • obtain product information;

  • submit orders;

  • make payments;

  • arrange delivery or collection; and

  • communicate with us regarding products and services.

Availability of a product on the website does not necessarily guarantee that stock will remain available until an order has been accepted.

6. Product Information

We take reasonable steps to ensure that product descriptions, photographs, specifications, dimensions, technical information and other product details are accurate.

However:

  • colours may appear differently depending on your screen or device;

  • packaging may change;

  • manufacturers may update designs or specifications;

  • minor differences may exist between photographs and physical products; and

  • typographical, technical or data-entry errors may occasionally occur.

Where products are purchased on the basis of a description, the products supplied will remain subject to applicable statutory requirements concerning correspondence with that description.

If we discover a material product-information error affecting an order, we will notify you and, where appropriate, provide an opportunity to proceed on the corrected basis or cancel the affected order.

7. Electrical, Solar and Installation Information

Product information provided on our website is intended to assist customers in understanding and selecting products.

It does not constitute professional electrical, engineering, solar-design or installation advice.

Electrical, inverter, battery, solar and other technical products must be selected, installed, connected and commissioned in accordance with:

  • applicable South African law;

  • relevant electrical and safety requirements;

  • manufacturer instructions; and

  • applicable technical standards.

Where professional installation is required, customers should use an appropriately qualified and authorised person.

Improper installation, incorrect wiring, unsuitable operating conditions, unauthorised modification, misuse or use contrary to manufacturer instructions may affect a warranty claim where the alleged failure was caused by that conduct.

Nothing in this section excludes statutory rights relating to unsafe, defective or poor-quality goods.

8. Pricing and VAT

Unless expressly stated otherwise, prices displayed on our website are:

  • stated in South African Rand (ZAR); and

  • inclusive of VAT where applicable.

Delivery, specialised freight and other transaction-specific charges may be calculated separately.

The total price payable, including applicable charges made available through checkout, will be presented before you finally submit your order.

Prices and promotions may change from time to time. A price change will not retrospectively alter an order already accepted at an agreed price unless permitted by applicable law.

9. Obvious Pricing and Website Errors

We take reasonable precautions to maintain accurate pricing.

If an obvious and inadvertent pricing, data-entry or technical error is identified before an order has been accepted, we may correct the error and notify you.

Where appropriate, you will be given the opportunity to:

  • proceed with the order at the corrected price; or

  • cancel the affected item or order and receive a refund of any amount already paid for it.

This clause does not give Whitehouse Lighting And Electrical an unrestricted right to alter an agreed price after a binding transaction has been concluded, nor does it remove any right available to you under applicable law.

For transactions to which CPA section 23 applies, the CPA contains specific protections concerning displayed prices and obvious inadvertent pricing errors. Online transactions are additionally subject to ECTA's electronic-commerce disclosure requirements.

10. Stock Availability

All products are subject to availability.

We take reasonable steps to keep stock information accurate, but stock levels may change rapidly, particularly where stock is sold simultaneously through different sales channels.

If an ordered product becomes unavailable after payment:

  • we will notify you as soon as reasonably possible;

  • we may offer a suitable alternative where appropriate, which you are not obliged to accept; or

  • we will refund the amount paid for the unavailable product in accordance with applicable law.

For qualifying electronic transactions, ECTA requires a supplier that cannot perform because ordered goods or services are unavailable to notify the consumer and refund applicable payments within the statutory period.

11. Orders and Contract Formation

Submitting an order through our website constitutes an offer by you to purchase the selected products subject to these Terms.

An automated order acknowledgement, payment notification or order-number email confirms that our system has received your order. It does not necessarily mean that we have finally accepted the order.

Unless we expressly communicate otherwise, an order is accepted when we:

  • confirm that the order has been approved and is being fulfilled;

  • confirm that the order is ready for collection;

  • dispatch the goods; or

  • otherwise expressly communicate final acceptance of the order.

Before final submission of an online order, customers must be provided with an opportunity to review the electronic transaction, correct mistakes and withdraw from the transaction. ECTA expressly requires these checkout protections.

We may decline an order before acceptance for legitimate reasons including:

  • stock unavailability;

  • an obvious pricing or product-data error;

  • failed or unauthorised payment;

  • suspected fraud or unlawful activity;

  • inability to verify material order information;

  • restrictions affecting delivery of a product; or

  • another lawful reason preventing us from fulfilling the order.

If we decline an order after receiving payment, we will refund the applicable amount in accordance with applicable law.

12. Payment

We accept the payment methods displayed during checkout.

By submitting payment information, you confirm that you are authorised to use the selected payment method.

Payments may be processed by independent payment-service providers.

Whitehouse Lighting And Electrical may therefore receive transaction confirmation without necessarily receiving or storing your complete payment-card information.

We will not be responsible for delays caused solely by banks, card networks or payment providers outside our reasonable control, but this does not exclude any responsibility imposed on us by applicable law.

Customers should never send complete card numbers, PINs, passwords or other sensitive banking credentials to Whitehouse Lighting And Electrical through ordinary email, WhatsApp or another unsecured channel.

13. Payment Security

ECTA requires an online supplier to use a payment system sufficiently secure with reference to accepted technological standards appropriate to the transaction.

We use Shopify and third-party payment providers to facilitate online transactions and take reasonable measures appropriate to our operations to protect payment and transaction information.

14. Shipping and Delivery

Delivery options, estimated delivery periods and applicable delivery charges are described in our Shipping Policy and/or displayed during checkout.

Delivery estimates are provided in good faith based on normal operating circumstances.

Courier delays, severe weather, strikes, road disruptions, load shedding, force-majeure events and other circumstances may affect expected delivery times.

However, delivery-delay clauses do not remove statutory rights.

For electronic transactions, section 46 of ECTA requires an order to be executed within 30 days after receipt of the order unless the parties have agreed otherwise. If the supplier fails to execute the order within the applicable period, ECTA provides the consumer with a statutory cancellation mechanism.

We will communicate material delays where reasonably practicable.

15. Delivery Information and Customer Responsibilities

You are responsible for providing complete and accurate delivery information.

Please ensure that:

  • the delivery address is correct;

  • the recipient can reasonably be reached;

  • any access restrictions are communicated where necessary; and

  • someone authorised to receive the goods is available where required.

Additional costs caused by incorrect information or unsuccessful delivery attempts may be charged where reasonable and legally permissible.

Nothing in this clause transfers to the consumer costs or risks that applicable law requires Whitehouse Lighting And Electrical to bear.

16. Risk and Ownership

Ownership of products passes to you once full payment has been received, subject to applicable law.

For customer deliveries, risk of accidental loss or damage will generally remain with Whitehouse Lighting And Electrical until the products have been delivered to you or a person authorised by you to receive them, except where applicable law provides otherwise.

Where you independently appoint and instruct your own carrier in circumstances legally allowing risk to transfer differently, the applicable arrangement will be considered separately.

17. Returns, Exchanges and Our 30-Day Policy

Whitehouse Lighting And Electrical offers an additional 30-day voluntary return policy for eligible products.

This customer-service policy operates in addition to statutory consumer rights and must not be interpreted as replacing or restricting them.

Depending on the circumstances, consumers may also have statutory return rights under the CPA and ECTA.

18. Online Cooling-Off Rights

Where section 44 of ECTA applies, a consumer may cancel a qualifying electronic transaction for goods without reason and without penalty within seven days after receipt of the goods.

The only charge that may be imposed under that cooling-off provision is the direct cost of returning the goods, and ECTA requires the applicable payment to be refunded within 30 days after cancellation.

Certain categories of transactions are excluded from the ECTA cooling-off right.

19. Defective and Unsafe Goods

Nothing in these Terms limits the statutory protections available for defective, unsafe or poor-quality goods.

Where the CPA applies, sections 55 and 56 provide an implied warranty of quality.

If qualifying goods fail to satisfy the applicable statutory standards within six months after delivery, the consumer may return them without penalty and at the supplier's risk and expense and may, subject to the CPA, elect repair, replacement or refund.

If goods are repaired and the statutory circumstances in section 56(3) arise within three months after repair, additional replacement or refund rights apply.

20. Manufacturer and Additional Warranties

Certain products may include an additional manufacturer, importer or distributor warranty.

The applicable warranty period and conditions may differ by product and manufacturer.

Any additional commercial or manufacturer warranty operates in addition to statutory consumer rights and does not replace or reduce rights that apply under South African law.

Warranty claims may require reasonable information necessary to establish:

  • proof of purchase;

  • product identification;

  • the nature of the alleged fault;

  • installation circumstances where technically relevant; and

  • whether external damage, alteration or misuse caused the reported problem.

Assessment of a claim does not itself remove any remedy available under the CPA.

21. Promotions, Discounts and Special Offers

Promotions, discounts and special offers may be subject to additional terms displayed with the relevant promotion.

Unless otherwise stated:

  • promotions apply only during the stated promotional period;

  • promotional stock may be limited;

  • discounts cannot necessarily be combined;

  • promotional codes must be entered where required before checkout is completed; and

  • discounts have no cash value.

Any promotional condition remains subject to applicable consumer law.

22. Third-Party Services

Our online store is hosted using Shopify.

We may also use independent:

  • payment processors;

  • banks;

  • courier companies;

  • technology providers;

  • analytics providers; and

  • other service providers.

These parties may operate separate systems subject to their own terms and privacy policies.

Where a third-party service experiences an outage or failure outside our control, we will take reasonable steps to assist where it affects an order, but we cannot guarantee uninterrupted operation of systems that we do not control.

This does not exclude any liability that applicable law places on Whitehouse Lighting And Electrical.

23. Third-Party Marketplaces

Products sold by Whitehouse Lighting And Electrical through an independent online marketplace may also be subject to:

  • that marketplace's checkout procedures;

  • payment rules;

  • delivery arrangements;

  • return processes; and

  • marketplace terms.

Where the marketplace rules conflict with mandatory South African consumer law, applicable law prevails.

These website Terms do not automatically replace the contractual terms governing a transaction completed entirely through an independent marketplace.

24. Intellectual Property

Unless otherwise stated, the Whitehouse Lighting And Electrical website and original content made available through it — including:

  • branding;

  • logos;

  • text;

  • graphics;

  • layouts;

  • photographs;

  • website design; and

  • original marketing material

— are owned by or lawfully licensed to Whitehouse Lighting And Electrical.

Third-party trademarks, manufacturer names, product images and other intellectual property remain the property of their respective rights holders.

You may not reproduce, republish, distribute, commercially exploit, scrape for unauthorised commercial purposes or materially modify protected website content without the permission of the applicable rights holder, except where permitted by law.

25. User Conduct

You may not use our website to:

  • commit fraud;

  • place intentionally fraudulent orders;

  • impersonate another person;

  • attempt unauthorised access to systems or accounts;

  • introduce malware or harmful code;

  • interfere with website security;

  • scrape or overload the website through abusive automated activity;

  • infringe intellectual-property rights; or

  • engage in conduct prohibited by South African law.

We may restrict or suspend access where reasonably necessary to protect our website, customers or business against unlawful, fraudulent or malicious activity.

26. Privacy and Personal Information

Personal information is processed in accordance with our:

  • international processing and transfers;

  • retention;

27. IMPORTANT – LIMITATION OF LIABILITY

This section limits certain types of liability and should be read carefully before placing an order.

To the maximum extent permitted by applicable law, Whitehouse Lighting And Electrical will not be responsible for indirect, incidental or consequential losses arising solely from:

  • temporary website unavailability;

  • use of a product contrary to its intended purpose;

  • incorrect or unauthorised installation;

  • modification of a product after delivery;

  • failure to follow manufacturer instructions;

  • customer-provided incorrect information; or

  • independent third-party services outside our reasonable control.

Any limitation will apply only to the extent that it is fair, reasonable, lawful and enforceable in the circumstances.

Nothing in these Terms excludes or limits:

  • rights or remedies that cannot legally be excluded under the CPA;

  • liability for loss attributable to our gross negligence where exclusion is prohibited;

  • statutory product-liability obligations;

  • statutory warranties;

  • liability that South African law prohibits us from excluding; or

  • any other mandatory consumer protection.

The CPA requires provisions limiting a supplier's risk or liability to be presented conspicuously and prohibits terms that attempt to contract out of mandatory rights or liability for gross negligence.

28. Website Availability

We aim to keep the website accurate, secure and available.

We do not guarantee that the website will operate continuously without:

  • maintenance;

  • technical faults;

  • telecommunications interruptions;

  • cybersecurity incidents; or

  • third-party infrastructure outages.

We may temporarily restrict access where reasonably necessary for maintenance, security or technical purposes.

This section concerns website availability only and does not remove obligations relating to an order already concluded.

29. Force Majeure and Events Beyond Our Reasonable Control

To the extent permitted by law, we will not be liable for delay caused by an event genuinely beyond our reasonable control where we have taken reasonable steps to mitigate its effects.

Such events may include:

  • severe weather or natural disasters;

  • civil unrest;

  • widespread telecommunications failures;

  • widespread electricity-system disruption;

  • lawful industrial action;

  • government restrictions;

  • major transport-network disruption; or

  • similar extraordinary events.

This clause does not permit Whitehouse Lighting And Electrical to avoid obligations that applicable law requires us to perform despite such an event.

Where an affected online order cannot lawfully or practically be fulfilled, statutory cancellation and refund rights remain applicable.

Nothing in these Terms prevents a consumer from approaching:

  • the National Consumer Commission;

  • the National Consumer Tribunal;

  • an applicable ombud or alternative-dispute-resolution body;

  • a provincial consumer authority; or

  • a court or other body having lawful jurisdiction,

where the consumer is entitled to do so under applicable law.

31. Governing Law and Jurisdiction

These Terms and transactions concluded through our South African online store are governed by the laws of the Republic of South Africa.

Any dispute may be brought before a court, tribunal, ombud or other forum having jurisdiction under applicable law.

Nothing in these Terms:

  • requires a consumer in advance to consent to a court that does not otherwise have lawful jurisdiction;

  • deprives a consumer of a statutory dispute-resolution mechanism; or

  • restricts rights of redress provided under the CPA or other applicable legislation.

The previous wording stating that customers automatically consent to Magistrate's Court jurisdiction “notwithstanding that the amount in dispute may exceed its jurisdiction” has therefore not been retained. Section 45 of the Magistrates' Courts Act regulates jurisdiction by consent and expressly restricts contractual provisions concerning future consent to jurisdiction.

32. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as severable or limited to the extent necessary.

The remaining provisions will continue to apply to the extent permitted by law.

33. No Waiver

If Whitehouse Lighting And Electrical does not immediately enforce a provision of these Terms, this does not automatically constitute a waiver of that provision or of any lawful right.

A waiver will apply only to the specific circumstances in which it is validly given.

Nothing in this section permits us to waive or limit a consumer's statutory rights.

34. Entire Agreement

For a transaction concluded through this website, the applicable agreement may include:

  • these Terms;

  • the relevant product description;

  • the final checkout information;

  • the order confirmation;

  • our Return & Refund Policy;

  • our Shipping Policy;

  • our Privacy Policy where relevant; and

  • any additional written terms expressly agreed for the specific transaction.

These documents constitute the contractual framework between the parties to the extent applicable.

Nothing in this section excludes representations or obligations that applicable law requires to form part of the transaction.

35. Changes to These Terms

We may update these Terms to reflect changes to:

  • applicable legislation;

  • our business operations;

  • website functionality;

  • payment or delivery arrangements; or

  • other legitimate operational requirements.

The current version will be published on this page with its revision date.

Unless applicable law requires otherwise, updated Terms will apply prospectively to future website use and transactions after publication.

An amendment to these Terms will not retrospectively alter the terms of an order or contract already concluded unless:

  • the change is required by law;

  • the change benefits the consumer without imposing a new obligation; or

  • the parties lawfully agree to the amendment.
